1. Introduction

These Terms of Service ("Terms") govern your access and use of MyCoCreator, including our website, mobile interfaces, AI agents, integrations, analytics features, and any related services (collectively, the "Services").

By using MyCoCreator, you agree to these Terms.

If you do not agree, do not access or use the Services.

2. Eligibility

You must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract
• Use the Services in compliance with these Terms, our Privacy Policy, YouTube API policies, and applicable laws

If you are using the Services on behalf of a business (e.g., agency or MCN), you confirm you have authority to bind that entity.

3. Account Registration

You must provide accurate information when creating an account.

You are responsible for:

• Keeping your password secure
• Restricting access to your account
• Any activity conducted through your account

We may suspend or terminate accounts that violate these Terms or pose security risks.

4. Use of the Services

You agree to use MyCoCreator only for lawful, legitimate creator-related activities.

You must not:

• Attempt to reverse engineer, scrape, or extract underlying models or datasets
• Misuse or overload our APIs
• Circumvent usage or plan limits
• Use the platform to generate harmful, misleading, or illegal content
• Use YouTube data in violation of YouTube API Services Terms of Service
• Use generated outputs to infringe copyrights or violate platform policies
• Use the platform to build a competing product or dataset without written consent from CoStudio

We may monitor usage for abuse, integrity, performance, and compliance with third-party API policies.

5. Third-Party Integrations

5.1YouTube API Services

If you connect your YouTube account, you agree to:

• YouTube Terms of Service
• Google Privacy Policy
• YouTube API Services User Data Policy, including Limited Use

You may disconnect at any time.

Revoking access disables all personalized features.

5.2OpenAI

By using MyCoCreator, you acknowledge that some features rely on OpenAI technologies.

Your prompts, metadata, or derived data may be transmitted to OpenAI for processing, strictly under our Privacy Policy and OpenAI's policies.

5.3Other External Data Sources

The Services may connect to additional third-party services (analytics, transcripts, public web).

We do not control third-party terms.

Your use of those integrations is at your own discretion.

6. Subscription, Billing, and Credits

6.1Plans and Pricing

Access to certain features may require a paid plan or usage credits.

Prices and features for each plan will be displayed at the time of purchase and may change with notice.

6.2Renewals

Subscriptions automatically renew unless cancelled.

6.3No Refunds

Except where required by law, payments are non-refundable.

6.4Usage Limits

Your use of AI agents, credits, API operations, or analytics computations may be subject to:

• Monthly or annual quotas
• Per-agent limits
• Fair-use or anti-abuse rules

We may adjust usage levels to maintain system performance.

7. Intellectual Property

7.1Our IP

All rights, title, and interest in MyCoCreator, including:

• Software, UI, workflows, agent logic
• Databases and ingestion pipelines
• AI prompts, models, optimizations, system prompts
• Text, design, graphics, documentation

belong to CoStudio Pte. Ltd.

You receive a limited, non-exclusive, non-transferable, revocable licence to use the Services.

7.2Your Content

"Your Content" includes:

• Prompts
• Uploaded data
• YouTube analytics (if connected)
• Files, text, links, or media
• Messages in MyCoCreator chat

You retain ownership of Your Content.

You grant CoStudio a licence to use it solely to:

• Provide and improve the Services
• Personalize your insights
• Operate models and analytics
• Ensure safety, security, and compliance

We do not use Your Content to train foundational AI models.

7.3Output Ownership

Except for third-party content (e.g., YouTube thumbnails, excerpts), outputs generated for you belong to you, subject to:

• Your compliance with these Terms
• Platform policies (YouTube, TikTok, Instagram)
• Intellectual property laws

You are responsible for ensuring that your use of generated outputs does not violate any rights of others.

8. Data Protection & Privacy

Your data is governed by our Privacy Policy.

By using MyCoCreator, you consent to:

• Processing your data as described
• Transfer of data internationally as needed for service operation
• Use of third-party processors (OpenAI, GCP, Stripe)

We maintain strong security practices but cannot guarantee absolute security.

9. Availability & Service Modifications

We may:

• Update, add, or remove features
• Modify agent behavior or model selection
• Limit access to certain regions
• Conduct maintenance that may affect availability

We are not liable for downtime or data loss.

We will make reasonable efforts to provide reliable service.

10. Prohibited Uses

You may not use MyCoCreator to:

• Generate misinformation, deepfakes, harmful content, or platform abuse
• Violate any law, regulation, or third-party terms
• Infringe IP rights
• Access or analyse data you do not have permission to use
• Build competing datasets or train models without written approval
• Conduct automated high-volume scraping or data extraction

We may suspend or terminate your access for violations.

11. Enterprise & MCN Use

If you are an agency, MCN, or enterprise:

• You remain responsible for ensuring you have consent from creators to access their data
• Cross-channel analytics are not aggregated unless explicitly authorized
• Creator data remains siloed and cannot be repurposed
• Custom agreements may be required for multi-seat or white-label access

CoStudio reserves the right to audit enterprise usage for fairness and compliance.

12. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind.

We do not guarantee:

• Accuracy of AI-generated insights
• Future channel performance
• Completeness of analytics data
• Compliance of generated content with YouTube or other platform rules
• Uptime or uninterrupted service

Creators are responsible for verifying all outputs before use.

13. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, punitive, or special damages
• Our total liability to you for any claim is limited to the amount you paid in the last 12 months
• We are not responsible for loss of revenue, brand damage, creator penalties, or platform strikes arising from your use of the Services

Some jurisdictions may not allow certain limitations; in those cases, limits apply to the fullest extent allowed by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless CoStudio from any claim arising from:

• Your use of the Services
• Your breach of these Terms
• Your misuse of APIs or data
• Your violation of laws or third-party policies
• Content you generate or publish based on MyCoCreator outputs

15. Suspension & Termination

We may suspend or terminate your access if you:

• Violate these Terms
• Abuse the platform
• Infringe our IP
• Misuse YouTube or OpenAI integrations
• Fail to pay for a subscription or exceed quotas

Upon termination:

• Your licence ends
• You must stop using the Services
• We may retain limited data as required by law

16. Governing Law & Dispute Resolution

These Terms are governed by Singapore law.

Any dispute shall be resolved through:

• Good-faith negotiation
• Mediation (Singapore Mediation Centre), if needed
• Final resolution by arbitration in Singapore under SIAC Rules

You waive the right to participate in class or representative actions.

17. Changes to Terms

We may update these Terms at any time.

Material changes will be notified by email or in-app.

Your continued use of the Services after changes means acceptance.
